AWT Labels & Packaging acquires American Label Technologies

AWT Labels & Packaging (AWT) has acquired American Label Technologies (ALT), an innovative RFID and labels provider for healthcare, retail, warehousing and automotive markets across North America.

Headquartered in Garner, North Carolina, ALT offers a comprehensive suite of RFID and NFC printing technologies. The business will continue to operate as American Label Technologies, an AWT Company.

Tipografic sells business to Royal Sens

Tipografic, a label producer based in Birkenhead, UK has been sold to Rotterdam, Netherlands based label specialist Royal Sens. DSG Chartered Accountants advised Tipografic on the sale.

The sale marks a significant development in the labels industry, enhancing the service capabilities of both companies across the UK and Europe.

DSG’s Andrew Moss led the advisory team to Tipografic. Having worked with the business for close to 35 years, Moss’s expertise and in-depth knowledge of the business was critical to the sale’s success.

Tipografic, established in 1989, has grown into one of the leaders in the production of wet glue labels for the food, drinks, and household industries, employing more than 130 people. As its founders transitioned towards retirement, they sought a strategic sale to secure the business’s future and provide opportunities for its management team within a larger group.

Founded in 1896, Royal Sens is a prominent manufacturer of wet glue labels with more than 240 employees and multiple branches across Europe. This acquisition allows both companies to enhance their service offerings and operational excellence, benefiting customers across the UK and Europe.

DSG assisted in setting realistic value expectations and negotiating a fair price, and helped to ensure the deal met the shareholders' objectives. Additionally, DSG’s coordination of Tipografic’s tax affairs and company records enabled a transparent and efficient due diligence process.

Navigating the complexities of working with an overseas buyer, DSG leveraged its international network through DFK International to provide assurance on the buyer’s funding process, contributing to the smooth execution of the deal.

Tipografic’s management team will continue to play a significant role within the larger Royal Sens group, providing stability and facilitating growth for the business. The merger promises potential workforce expansion and greater production capacity in the UK.

Tipografic founder, Jeff Cornell, commented: ‘Andrew and DSG have been our trusted advisors for decades. Their expertise and unwavering support were instrumental in the successful sale of our business. We are confident that Tipografic is in good hands and looking forward to the future.’

The Fedrigoni Group has entered into an agreement to acquire a majority stake in BoingTech, a subsidiary of Shanghai Inlay Link Inc (a NEEQ-listed Chinese holding company) and one of the pioneers in the manufacturing of RFID inlays and tags, both UHF and HF/NFC, produced in its two plants (in China and Malaysia).

Shanghai Inlay Link will retain a significant share to ensure a smooth transition and continued business enhancement, while Fedrigoni will have the right to purchase the remaining shares of BoingTech in the future.

With this further acquisition, the fifth this year, the group continues the path of diversifying its premium product offering, reinforcing its role and size in the RFID inlay and tag manufacturing, and further expanding in Asia, following the acquisition of ArjoWiggins China in January.

After this strategic arrangement, Shanghai Inlay Link will maintain its existing activities related to the manufacturing of RFID antennas and full solutions provider through its dedicated legal entities.

Thanks to Boingtech acquisition, which is expecting a turnover of about USD 60 million for 2024 and more than 300 employees, Fedrigoni strengthens its position as a player in RFID, bringing additional value to customers in both its businesses of self-adhesives and specialty papers for luxury packaging and other creative applications, where it is increasingly important to track-and-trace products along the value chain, as well as to find solutions to protect brands, verify their authenticity and prevent counterfeiting but also to provide consumers with increasingly engaging shopping experiences.

Marco Nespolo, CEO at Fedrigoni Group, said: ‘The world of RFID is growing rapidly and is increasingly strategic for our group. This deal is a further step to significantly increase our size in the segment RFID inlay manufacturing, as well as widen our ability to partner with our customers, alike converters, printers and system integrators, and meet their needs. Furthermore, the acquisition is coherent with our expansion in Asia, where we already have a good presence in terms of manufacturing and distribution footprint.’

Since its inception in 2010, Colordyne Technologies has specialized in engineering and manufacturing high-quality inkjet engines and printers. With a commitment to delivering high-quality inkjet technology and support, Colordyne has installed over 600 inkjet engines and benchtop systems globally. The company's mission is to help printers successfully integrate inkjet into their business and onto their existing equipment. Colordyne has been developing innovative inkjet products, particularly for the narrow web label, packaging and commercial print industry.

Established in 2009, Afinia Label offers industrial high-speed label printing and finishing products. With a foundation in technical expertise dating back to its parent company Microboards Technology's start in 1989, Afinia has served over 55 countries, providing dependable and cost-effective printing equipment.

The sale of Colordyne's 1600 Series and 1800 Series benchtop business comes as Colordyne shifts its focus towards higher volume production digital printing applications. Afinia will assume responsibility for consumables, spare parts, for all existing Colordyne 1600 Series and 1800 Series customers. This acquisition allows Afinia to expand its installation base and enhance its service offerings.

Taylor Buckthorpe, director sales and marketing, Colordyne Technologies, said: ‘Afinia is a leader in the benchtop market, our customers will be in great hands with Afinia’s world-class team and will have access to a larger portfolio of finishing solutions. This acquisition allows Colordyne to remain focused on pushing inkjet technology into higher volume, longer run applications.’

Todd Engel, COO and president UK, Afinia Label, added: ‘We are excited to add these users to the Afinia family. This acquisition will strengthen our position in North and South America and will enhance our dealer network throughout the region.’

JH Label Solutions has rebranded to Zeus Labels – Complete Label Solutions marking its integration into the Zeus Packaging Group, emphasizing its commitment to quality, innovation and global service.

JH Label Solutions was established in 2008 under the James Hamilton Group, founded in the 1920s, which evolved from selling wrapping papers to diversifying into commercial printing and food packaging, eventually establishing JH Label Solutions to meet market demands.

As part of Zeus Packaging Group, Zeus Labels will offer innovative, sustainable and high-quality labels through 58 locations in 38 countries.

Online Exclusive: Vinsak acquires Rotatek

The Vinsak Group has acquired European press manufacturer Rotatek in July 2023.

The Vinsak Group has acquired Rotatek Spain, a Europe-based manufacturer of printing web presses for labels, flexible packaging, folding cartons, security printing, commercial printing and pharmaceutical inserts. The acquisition was completed in July 2023. The acquired company will now be known as Rotatek Printing & Packaging Technologies SL and will run out of Vinsak’s Dubai operation.

The Vinsak Group was associated with Rotatek from 1996 to 2013 for India, the Middle East and Africa and then again from 2020 onwards. Vinsak has sold more than 100 Rotatek presses including complicated configurations.

Ranesh Bajaj, director of Vinsak, says: ‘For instance, we sold a machine with 17 units which included offset, flexo, digital, screen printing, die-cutting and sheeting units all in one line to produce high-security products. This press was 120ft long and improved the productivity by five times and reduced production costs of the product by 40 percent.’

Around 50 of the Rotatek machines sold by Vinsak are still operational in India.

In 2023, Rotatek was owned by a PE firm from Spain which was able to run it commercially but not invest in R&D, new software, and production methods. In July 2023, the Vinsak Group acquired the productive unit, the patents, technical knowledge and the team of Rotatek.

Bajaj adds: ‘We are proud that we absorbed all the employees and did not make even one person redundant. We are delighted that the core technical team of Rotatek is intact offering their experience and technical knowledge to the world. They are also successfully supporting more than 1800 machines around the world including some which are up to 30 years old.’

Since then, Vinsak has been working to integrate the company into the group’s business policies, ethics and ethos. The company is upgrading its systems and processes both technical and commercial and improving infrastructure both hardware and software. It is also strengthening the company’s team and has added around 10 professionals to the company over the last eight months. This new and young talent will be mentored by the old team to take the company to the next level. Vinsak has added another 15,000sqft of space to the existing 20,000sqft to increase production capacity.

Leadership at Rotatek

This complete business transformation activity is being led by Dr Gita Bajaj, group director of HR and business transformation at Vinsak. With her deep knowledge of turning companies around on a global scale, this process is firmly on track.

Rotatek CEO Mario Gamez continues to lead the company by managing all the functions of the organization. He is also a 20 percent shareholder in the new entity thus confirming his confidence in the company as well as the future.

Vinsak’s group CFO, who works out of the UK office is working on the financial aspects of the turnaround including European compliances.

Expanding to new markets

On the sales front, the global sales structure has been revived. Vinsak’s close association with Rotatek Brazil will ensure a new thrust in the Brazilian markets. Rotatek’s existing distributors in Germany, Italy, Portugal, France and the UK have been retrained on the portfolio and they are generating new leads every week. Rotatek has appointed new distributors in Thailand, Vietnam and Japan to grow the market in the Far East.

‘With the Vinsak group active in the Middle East, India and Africa, we have the globe more or less covered. North America is the territory under development now and we are looking to appoint a distributor for the US and Canada,’ reveals Bajaj.

On the technical front, the company has a host of new developments planned. In 2024, the company will launch the Universal 850 for pharma and carton markets. The other Universal models continue to offer solutions for flexible packaging as well.

In 2025, Rotatek plans on launching the new Brava semi-rotary press for labels which will be fully revamped. The new press will be displayed at Labelexpo Europe 2025 in Barcelona, Spain.

The group will continue to listen to feedback from convertors and label printers around the world and build bespoke equipment to enable converters to create high-quality labels and packaging around the world.

Two important focus areas for Rotatek are sustainability and security. ‘We are developing machines that produce excellent print quality while leaving behind a minimal carbon footprint,’ Bajaj emphasizes.

Rotatek’s security printing presses provide governments and brand owners with the ability to print sophisticated documents with security features. Rotatek R&D is thus geared to enhance these printing features to address concerns of counterfeiting, imitation and environmental degradation.

A balanced ecosystem

Bajaj cites two reasons for the acquisition: The first is for backward integration, aiming to transform Vinsak from being primarily a reseller to a more manufacturing-centric organization. The second reason is the incorporation of the Vinsak Group ethos throughout the new organization.

‘The growth strategy that has benefited us is also expected to aid Rotatek. Over the past year, from July to now, we have seen significant growth. We started with 19 employees, have grown to 30, and are continuing to hire. Our target is to reach 240 employees by the end of the year,’ Bajaj explains.

‘We intend to grow the business, which is our primary goal. Additionally, we have established clear understandings with both Lombardi and Iwasaki. By rationalizing our portfolio effectively, we have ensured strong partnerships with these companies.’

Rotatek will not manufacture flexo presses. Lombardi does not include offset units in its portfolio, and if it ever requires one, Rotatek will sell them to Lombardi. Additionally, Rotatek previously produced smaller Brava intermittent presses, including the 350mm wide Bravina model, which competed directly with Iwasaki presses. Rotatek has since discontinued the Bravina range.

‘In fact, Vinsak is Iwasaki’s distributor in Spain for selling Iwasaki presses. Conversely, Iwasaki does not produce any presses wider than 330mm; they do not manufacture a 450mm wide intermittent offset press. Rotatek will be offering this press to Iwasaki and its distributors worldwide. We have built an ecosystem without an overlap where everybody can focus on their strengths and grow the business,’ he explains.

Universal range is a sleeve press meant for cartons and flexible packaging. It was earlier limited to a width of 680mm and the company has now already built the first press of 850mm.

The company has already received an order for the press from a French customer to whom it will be delivered by the end of July 2024. Vinsak is also planning an open house for it in 2024.

Vinsak has also sold the Rotatek Perfect NT security printing press and ancillary finishing equipment to SKSC (Smurfit Kappa Security Concepts), the internationally recognized high-security printing and identity management solutions provider for over EUR 3 million. The new equipment will complement SKSC’s comprehensive existing range of production machinery at its high-security print facility near Dublin, Ireland.

The Rotatek press has been designed and developed to SKSC’s exact and unique specification, enabling the company to continue to deliver high-security printing of items to existing and new clients across the globe including passports, birth certificates, motor tax and excise labels. It will also facilitate the introduction of new products to a wider market with, for example, the added capability to produce self-adhesive security labels to strengthen brand integrity by mitigating loss across the supply chain while protecting revenue.

Building your company’s value for the future

After 15 years of writing this column, Bob Cronin of The Open Approach is hanging up his pen. Here he offers four ways to add value to your business.

Back in 2009 when my first Labels & Labeling column
appeared, our industry looked a lot different. Local and
regional entrepreneurs ran the show, technologies such as
RFID and QR codes were iffy, and digital printing was a ‘specialty.’

Mergers and acquisitions (M&A) were on everyone’s minds, and we wondered how the huge strategic deals (Multi-Color buying Collotype, Fort Dearborn grabbing Renaissance Mark, and York Label gobbling up a bunch of others) would affect the marketplace.

And thus, I was enlisted as your pundit for everything M&A.
Fast forward 15 years, and the momentum hasn’t stopped.
Although we’ve had a couple of brief stalls due to lending changes and Covid-19, the energy, excitement, and interest around the Labels and packaging market have only accelerated. Moreover, the billions brought into our industry from private equity (PE) over the last several years have kept us front and center as a target for worldwide investors.

We are now in a different place. The industry has consolidated, transforming what was an extremely fragmented marketplace into a group of larger, specialty-focused leaders. We have a few small, geographically dominating enterprises, but we have more businesses that are soon-to-be national or global players. PE has changed our industry and the way companies need to operate to compete.

In writing my final column for Labels & Labeling, I want to first
express what an honor it has been to be here. My agency, The Open Approach, has been introduced to and supported all types of owners through this column. We have been proud to have advised and/or represented many of you in your transactions. And we are happy to provide our expertise to you down the road.

As we look to the future, perhaps our biggest change is in timing. We used to recommend a six-month acquisition and two-year exit plan, but the fast-changing dynamics and increasing regulations across manufacturing have truncated such schedules. When you start considering a move, be prepared to act quickly.

With PE owning many of our larger businesses, we know they
will continue to seek acquisitions to grow revenue, as well as ways to exit to benefit investors. Their significant stake in our business means that many of the market’s M&A moves (and your company’s opportunities) will involve them.

The labels and packaging industry is still an outstanding place
to own a business. However, to succeed in today’s climate, you must position yourself to build value. Here are the four ways to accomplish this:

1. Understand and adapt your business year to year.
Competitive forces, technologies and buying dynamics change rapidly. Work to continually align yourself with positive growth factors, whether through new equipment, employee training, sales techniques, or simply a different mindset. Make sure any adjustment is embraced by staff and promoted to customers and prospects.

To succeed in today’s climate, you must position yourself to build value

2. Determine your key strengths and weaknesses and
constantly work to improve on them. Know where you excel
and fall short at all times and empower your people to help you grow stronger. Compare your assessments with outside evaluations (customer surveys, online reviews, consultants, etc.) to make sure your view is realistic.

3. Be constantly aware of your customer mix and their
potential issues. Your top (and most valuable) customers will
change over time. And sometimes, the change will come fast.
Stay abreast of customers’ industries and their trends and
influences. Find ways to help them address their issues. This will transform your company from a provider to a partner and secure their long-term loyalty so you both thrive. Rebalance your mix if you find heavy concentrations in any specific area(s).

4. Dedicate time to build the skill sets and aptitudes of your
employees. One of our biggest near-term issues is finding the next generation of people to run our organization. Building a business always begins with and depends on people. We, as leaders, need to champion a more focused effort on hiring, training and providing a career that causes top talent to join and stay with our operations.

Agergaard Group forms Agergaard North America

The Agergaard Group, Celle, Germany has formed Agergaard North America, Agergaard NA. The newly established company is a joint venture between Ole Christian Agergaard and Scott Hibbs and is strategically formed to better service and support its growing customer base in North America.

Both Agergaard and Hibbs have served the printing industry for more than three decades. Combined between both gentlemen, they have more than sixty years of experience successfully selling equipment, spare parts, and consumable offerings to the industry.

‘With a motto of a happy customer is our best prospect, Agergaard NA, will focus on continuing to build and strengthen successful relationships and positive customer experiences as being the cornerstone of driving new business and product expansion within our region,’ said Hibbs.

The Agergaard Group product portfolio includes AkeBoose chamber doctor blade systems, ink and coating supply units, AGSflexo doctor blades and end seals, as well as printing units for specialized applications. Agergaard NA will sell, service, and support the full range of the Agergaard Group product portfolio.

Agergaard said: ‘Our company has been on a strategic growth pattern since its inauguration in 2007. The product and manufacturing range of the company has developed over the years in response to strong market needs and customer demands. To further build upon the success of our brand, we have teamed up and formed Agergaard NA, to bring our strong product portfolio and innovative solutions to our customers in North America. Adheso-Graphics joins Anderson & Vreeland

Anderson & Vreeland, a manufacturer and distributor of flexographic print technologies, equipment and consumables, has acquired Adheso-Graphics, a manufacturer of pressure-sensitive adhesive tapes designed for various applications.
